  • The Canada Business Corporations Act is being amended to require corporations to make certain information on individuals with significant control over the corporation available to the public, while protecting their identity. The amendment will also add or broaden the enforcement and compliance powers of the Director and include regulatory authority to prescribe further requirements. Other Acts will also be amended consequentially and relatedly. The amendment aims to make corporations more transparent and accountable.

  • In accordance with its Order of Reference of Thursday, June 1, 2023, your committee has considered Bill C-42, An Act to amend the Canada Business Corporations Act and to make consequential and related amendments to other Acts, and agreed on Monday, June 12, 2023, to report it with the following amendments:

    Clause 2

    That Bill C-42, in Clause 2, be amended by replacing line 32 on page 2 with the following:

    “ing $100,000.”

    Clause 5

    That Bill C-42, in Clause 5, be amended by adding after line 9 on page 4 the following:

    “(2) Subsection 21.4(5) of the Act is replaced by the following:

    (5) A person who commits an offence under any of subsections (1) to (4) is liable on summary conviction to a fine not exceeding one million dollars or to imprisonment for a term not exceeding five years, or to both.”

    Your committee has ordered a reprint of Bill C-42, as amended, as a working copy for the use of the House of Commons at the report stage.
    A copy of the relevant Minutes of Proceedings (Meetings Nos. 78 and 80) is tabled.
